TERMS AND CONDITIONS

1. Payment Framework: All invoices are issued in United Arab Emirates Dirhams (AED) and are subject to a 5% UAE VAT, which will be explicitly detailed. Payment is due within 7 Days from the date of issuance.

2. Intellectual Property & Rights Transfer: All design concepts, strategic frameworks, raw multimedia files, video edits, and AI-generated assets created by Dayanica remain the sole intellectual property of Dayanica until this invoice is settled in full. Possession of draft files does not constitute a transfer of rights. Upon receipt of final payment, full execution rights transfer cleanly to the Client.

3. Scope & Revisions: This invoice covers only the specific creative deliverables outlined in the approved project brief. Any requests for additional iterations, scope creep, or extra digital assets outside the original agreement will be billed as a separate variance line item.

4. Late Payment Policy: In the event of a payment delay exceeding 3 days past the due date, dayanica reserves the right to suspend all active production pipelines, pause live virtual talent campaigns, or temporarily revoke digital asset deployment until the account balance is cleared.

5. Governing Law: This agreement and any disputes arising directly from it shall be governed by, and construed exclusively in accordance with, the federal laws of the United Arab Emirates as applied in the Emirate of Dubai, subject to the exclusive jurisdiction of the Dubai Courts.
